The Ministry of Corporate Affairs (MCA) has released a draft of proposed amendments to the Limited Liability Partnership (LLP) Rules, inviting public comments from stakeholders, professionals, and citizens. This move is part of the government’s ongoing effort to make LLP regulations more transparent, modern, and business-friendly. The draft notification, published in May 2025, focuses on streamlining compliance procedures, enhancing digital integration, and redefining certain roles and responsibilities of partners and designated partners under the LLP Act, 2008.

Among the key proposals, the MCA has suggested changes to Form 3 (LLP Agreement filing), Form 8 (Statement of Accounts), and Form 11 (Annual Return), with clearer instructions, fewer attachments, and enhanced e-verification mechanisms. The draft also introduces provisions for faster partner addition/removal, standard formats for audit declarations, and simplified closure procedures for dormant LLPs. In addition, it proposes expanding the scope of adjudicating officers and defining response timelines for defect notices and appeals, thereby aiming to reduce litigation and improve accountability.

The ministry has opened the floor for public consultation until June 30, 2025, and invited suggestions through its official website and email channels. Legal experts and compliance professionals have welcomed the opportunity for engagement, noting that inclusive rule-making promotes regulatory alignment with practical business needs. Once finalized, these amendments are expected to bring greater clarity, speed, and digital ease to LLP governance, aligning it further with the dynamic requirements of modern business entities.
