One Person Can No Longer Incorporate Section 8 Alone

In a significant regulatory update, the Ministry of Corporate Affairs (MCA) has clarified that the incorporation of a Section 8 company can no longer be undertaken by a single individual. The new directive mandates a minimum of two promoters or subscribers for the formation of such entities, aligning Section 8 incorporation requirements with broader corporate governance norms under the Companies Act, 2013.

This move puts an end to the earlier ambiguity where some applicants attempted to form a non-profit entity with only one individual acting as both the sole director and shareholder. The revised stance reinforces the principle that Section 8 companies—formed for charitable, educational, social, or environmental objectives—must reflect a collective, not individual, mission.

Officials stated that the change is aimed at enhancing transparency, accountability, and shared responsibility within non-profit organizations. It ensures that the governance structure has at least two individuals overseeing decisions, reducing the risk of unilateral control and potential misuse of charitable status or funds.

To comply, applicants must now name at least two subscribers in the Memorandum of Association (MOA) and ensure that both individuals fulfill eligibility conditions, such as having valid Director Identification Numbers (DINs) and digital signatures (DSCs). The rule applies to both fresh incorporations and conversions from existing sole-proprietorship structures.

Legal experts have welcomed the clarification, noting that it fosters better oversight and protects the integrity of India’s non-profit ecosystem. The requirement aligns Section 8 companies more closely with best practices in non-profit governance, where collaboration, transparency, and collective decision-making are fundamental to serving public interest.
