RoC to Publish List of Defaulting Section 8 Companies
In a decisive step to promote transparency and compliance, the Registrar of Companies (RoC), under the Ministry of Corporate Affairs (MCA), has announced plans to publicly release a comprehensive list of Section 8 companies that are in default of their statutory obligations. This includes failures in filing annual returns, financial statements, and other mandatory disclosures under the Companies Act, 2013.
The list, which will be published on the official MCA portal, aims to alert stakeholders—including donors, CSR contributors, and regulatory bodies—about non-profit entities that have not adhered to legal compliance standards. The move is intended to act as both a deterrent for non-compliance and a tool for responsible partnership selection in the social sector.
RoC officials have confirmed that the names of defaulting entities, along with details of their lapses, such as overdue filings or failed audits, will be included in the list. Companies that have failed to file Forms AOC-4 (Financial Statements) and MGT-7 (Annual Return) within the stipulated deadlines will be prominently featured, and continued non-compliance may lead to license suspension or prosecution.
The initiative follows repeated advisories issued by the MCA urging Section 8 companies to meet their filing obligations, irrespective of their size or operational scale. While the government recognizes the challenges faced by smaller organizations, it stresses the importance of maintaining minimum governance standards to retain public trust.
Experts believe that publishing the list will improve accountability, encourage corrective action, and help funders and CSR planners make more informed decisions. It underscores the government’s ongoing commitment to strengthening the legal and operational integrity of India’s non-profit ecosystem by ensuring that privileges granted to Section 8 companies are matched with transparent and lawful conduct.
