MCA Notice on Misuse of CSR Through Dummy Section 8s
In a stern regulatory warning, the Ministry of Corporate Affairs (MCA) has issued an official notice alerting companies and stakeholders about the misuse of Corporate Social Responsibility (CSR) funds through dummy Section 8 companies. The notice follows investigations revealing a growing number of shell entities falsely registered as non-profits to siphon CSR contributions without undertaking any genuine social work.
The MCA stated that these entities are being floated with the sole purpose of diverting CSR allocations by offering fake implementation services or inflating project reports. Such misuse not only undermines the intent of CSR laws but also erodes public trust in legitimate non-profit operations. Several cases have shown non-existent field work, forged documentation, and circular transactions where funds eventually return to the donor company through disguised channels.
To combat this malpractice, the MCA has announced stricter enforcement and monitoring mechanisms. Companies engaging Section 8 firms for CSR must now verify their CSR Registration Number, review financial and audit disclosures, and ensure that partners have a proven record of credible work in their stated domains. The MCA has also warned that corporates involved in such arrangements may be held jointly liable for misappropriation of CSR funds and may face financial penalties or legal proceedings.
Furthermore, the government will intensify scrutiny through the CSR portal, data analytics tools, and cross-verification with income tax and GST filings to detect inconsistencies. Section 8 companies found guilty of facilitating such schemes may face license cancellation, blacklisting, and disqualification of directors.
This notice serves as a strong signal of the government’s zero-tolerance approach to CSR fraud. It urges corporates to exercise due diligence and directs genuine Section 8 firms to uphold transparency, governance, and accountability in all CSR-related engagements. The crackdown aims to restore integrity in India’s CSR framework and ensure that funds reach the communities and causes they are legally and ethically intended to support.
