Can an LLP be registered under Startup India scheme?
Eligibility under Startup India
- Yes, an LLP can be registered under the Startup India scheme
- The LLP must be incorporated under the LLP Act, 2008, in India
- It should be a new entity, not formed by splitting or restructuring an existing business
- The LLP must be working towards innovation, development, or improvement of products or services
- It must have a scalable business model with potential for wealth and employment generation
Recognition as a Startup
- The LLP must apply for recognition as a startup with the Department for Promotion of Industry and Internal Trade (DPIIT)
- It should not be more than 10 years old from the date of incorporation
- The LLP’s turnover must not have exceeded ₹100 crore in any financial year
- The entity must be original and not copied from existing business ideas
- Upon approval, it receives the Startup Recognition Certificate
Benefits Available to LLPs
- Tax exemptions under Section 80-IAC (if DPIIT recognized)
- Exemption from angel tax under Section 56(2)(viib)
- Access to self-certification of labor and environmental laws
- Eligibility to participate in government tenders and public procurement
- Access to funding support through Startup India Seed Fund and Fund of Funds
Registration Requirements
- The LLP must be incorporated and registered with the MCA
- A valid PAN, business details, and startup activities must be declared
- The application must include pitch information and business objectives
- DPIIT requires the uploading of documents supporting the innovation and business model
- The entity must maintain regular filings and compliance to retain recognition
Compliance and Monitoring
- Startups must file annual self-certification for continued benefits
- DPIIT may conduct random checks or audits for compliance
- Any deviation from the eligibility criteria may lead to the withdrawal of recognition
- LLPs must continue to operate within the framework of the LLP Act and the Startup guidelines
- Benefits are subject to review and updates by DPIIT and related authorities
