Hello Auditor

What is the timeline for registering a Section 8 company?

1. Preparation and Document Collection (3 to 5 Days)

  • Collect and prepare identity, address, and office proof documents for directors and members.
  • Obtain Digital Signature Certificates (DSC) for proposed directors.
  • Draft the Memorandum of Association (MOA) and Articles of Association (AOA).
  • Prepare declarations (INC-14, INC-15) and financial projections for 3 years.
  • This stage involves coordination with professionals and authentication of documents.

2. Name Reservation via SPICe+ Part A (2 to 3 Days)

  • Apply for name approval on the MCA portal using SPICe+ Part A.
  • The proposed name must reflect the non-profit nature of the organization.
  • The Central Registration Centre (CRC) usually processes name approvals in 48 to 72 hours.
  • Once approved, the name is reserved for 20 days.
  • If rejected, a revised name can be resubmitted during the same timeline.

3. Filing License Application in INC-12 (5 to 10 Days)

  • File Form INC-12 for obtaining a license under Section 8 with the Regional Director (RD).
  • Include all necessary declarations, drafts, and compliance documents.
  • The RD may request additional clarification or modifications.
  • Approval may take 7 to 10 working days, depending on completeness and jurisdiction.
  • License issuance is a prerequisite before incorporation filing.

4. Filing SPICe+ Part B and Incorporation (2 to 4 Days)

  • Once the license is granted, file SPICe+ Part B, AGILE-PRO, INC-9, eMOA, and eAOA.
  • These forms complete the process of company incorporation with the ROC.
  • The Registrar of Companies (ROC) generally approves the application within 2–3 working days.
  • The Certificate of Incorporation (COI) is issued along with PAN and TAN.
  • The company is officially formed upon receipt of this certificate.

5. Total Estimated Timeline (12 to 20 Working Days)

  • The entire process typically takes between 2 to 4 weeks.
  • Delays may occur due to document errors, name rejections, or license clarifications.
  • A timely response to queries from the MCA or RD can expedite approval.
  • Working with an experienced professional can help meet timelines more efficiently.
  • Post-registration compliance, like bank account opening and tax registrations, follows thereafter.
