Can a Nidhi Company change its registered office?

1. Legal Possibility of Changing Registered Office

  • Yes, a Nidhi Company is legally permitted to change its registered office.
  • The change must be made by the provisions of the Companies Act, 2013.
  • The process depends on whether the move is within the same city, to another city in the same state, or to another state.
  • Prior approval of the Board or members may be required, depending on the nature of the move.

2. Change Within the Same City or Town

  • If the registered office is being shifted within the same city, town, or village, only a board resolution is required.
  • Form INC-22 must be filed with the ROC within 30 days of the change.
  • Supporting documents include new address proof, utility bill, and NOC from the property owner.
  • There is no need to alter the Memorandum of Association (MOA) in this case.

3. Change Within the Same State but Different City or ROC Jurisdiction
