Detailed Compliance Calendar for Section 8 Entities

Introduction

Section 8 Companies are specialized non-profit entities incorporated under the Companies Act, 2013, with the purpose of promoting charitable and public welfare objectives. While they are not commercial ventures, they are treated on par with other companies in terms of governance and legal compliance. Maintaining a proper compliance calendar is essential for Section 8 Companies to operate lawfully, retain their tax exemptions, and build credibility with stakeholders, donors, and authorities. The compliance responsibilities span across corporate filings, income tax obligations, statutory meetings, and where applicable, foreign contribution regulations. A structured annual calendar ensures timely fulfillment of these duties and protects the organization from penalties and disqualification.

Monthly and Quarterly Responsibilities

Throughout the financial year, Section 8 Companies must consistently update their books of accounts and record transactions. Monthly and quarterly activities include the reconciliation of bank accounts, preparation of financial statements, and where applicable, the submission of GST returns. Although not every Section 8 Company is registered under GST, those involved in taxable services or goods must comply with monthly or quarterly GST filings depending on their turnover and composition scheme. Additionally, if the entity deducts tax at source, then TDS payments and quarterly returns must be filed on the due dates prescribed under the Income Tax Act. Regular internal reviews during these intervals help in managing year-end filings and improve overall compliance efficiency.

Annual General Meeting and Financial Approval

One of the key annual responsibilities for a Section 8 Company is conducting its Annual General Meeting. This meeting must be held within six months from the end of the financial year, usually by the end of September. The primary purpose of this meeting is to present and approve the audited financial statements, appoint or reappoint auditors, and take note of significant developments in the governance or structure of the organization. Prior to the meeting, the board of directors must meet to approve the accounts and recommend their adoption at the AGM. These meetings must be recorded with proper minutes and resolutions, which are part of the statutory recordkeeping requirements.

MCA Filings: AOC-4 and MGT-7

After the AGM, the company must file its annual returns with the Ministry of Corporate Affairs. The financial statements, along with the board and auditor’s report, are filed using Form AOC-4. This must be submitted within thirty days from the date of the Annual General Meeting. In parallel, Form MGT-7, which is the company’s annual return detailing shareholding structure, directors’ information, and other corporate data, must be filed within sixty days of the AGM. These filings require digital signatures from the authorized directors and certifications from practicing professionals, and missing deadlines can lead to daily penalties under the Companies Act.

Income Tax Return and Audit under ITR-7

Regardless of their non-profit nature, Section 8 Companies must file an income tax return annually using Form ITR-7. This return applies to entities registered under Section 12AB of the Income Tax Act. If the company’s total income before exemptions exceeds the basic exemption limit, it must also get its accounts audited and attach Form 10B with the return. The due date for filing ITR-7 is generally 30th September, unless extended by the Income Tax Department. Filing the return is mandatory even when the entire income is claimed as exempt under the law, and it ensures continuity of tax benefits granted to the company.

FCRA Returns and Filings

For Section 8 Companies receiving foreign contributions, FCRA compliance adds another layer to the annual calendar. The annual return in Form FC-4 must be filed with the Ministry of Home Affairs by 31st December following the end of the financial year. This return provides a detailed account of the foreign funds received, their sources, and how the funds have been utilized. The return must be supported by audited financials and bank statements and submitted online through the FCRA portal. Additionally, any changes in directors, bank accounts, address, or objectives must be reported in real time through Forms FC-6 and FC-7.

Auditor Appointment and DIR-3 KYC

Every year, the company must review the status of its statutory auditor. The Companies Act requires appointment or reappointment at the Annual General Meeting and reporting the same through Form ADT-1, which must be filed within fifteen days of the meeting. Separately, all directors must complete their KYC compliance by filing Form DIR-3 KYC annually by 30th September. Failure to file this form results in deactivation of the Director Identification Number (DIN) and penalties.

Additional Compliances Based on Operations

Some Section 8 Companies may also be registered under the Employees’ Provident Fund Organisation (EPFO) or Employees’ State Insurance Corporation (ESIC) if they meet the threshold of employment. In such cases, monthly filings and remittances are required under those laws. Similarly, if the company is registered under GST, monthly or quarterly GSTR filings must be completed. Also, companies issuing TDS certificates must submit quarterly TDS returns under Form 24Q or 26Q depending on the nature of the transaction.
