Draft E-Governance Code Issued for LLP Filings

In a move to enhance digital transparency and regulatory consistency, the Ministry of Corporate Affairs (MCA) has issued a Draft E-Governance Code specifically for Limited Liability Partnerships (LLPs). Released for public consultation in August 2025, the proposed code outlines a unified framework for digital documentation, authentication protocols, and paperless compliance. The objective is to standardize all LLP-related digital filings, improve cybersecurity, and minimize human interface, in alignment with the broader Digital India and Ease of Doing Business initiatives.

Key features of the draft include mandatory use of cloud-based storage for official records, timestamped digital signatures on all MCA filings, and automated reminders for statutory due dates. LLPs will also be expected to adopt uniform metadata formats, enable partner-level dashboards for real-time compliance tracking, and use Aadhaar/PAN-based verification for role authorizations. Additionally, the code encourages the use of APIs for system-to-system integration, allowing accounting software to auto-generate compliant forms such as Form 11, Form 8, and Form 4.

Industry experts have welcomed the code as a foundational step toward data integrity, proactive compliance, and simplified audits. MCA officials have invited feedback from legal professionals, company secretaries, and LLP administrators until September 15, 2025, after which the finalized version will be notified. Once implemented, the E-Governance Code is expected to significantly reduce procedural errors, enhance filing efficiency, and build a robust digital compliance ecosystem tailored for India’s growing LLP sector.
