Government Mandates Women Directors for Large Public Limited Companies

The Government of India has issued a landmark directive mandating the appointment of at least one woman director on the board of all large public limited companies, in a move aimed at enhancing gender diversity and strengthening corporate governance. The new rule, notified under Section 149 of the Companies Act, 2013, applies to all listed entities and unlisted public companies with either a paid-up capital of ₹100 crore or more, or a turnover exceeding ₹300 crore. This policy builds upon earlier requirements introduced in 2015, but now broadens the scope and tightens enforcement measures with clearly defined penalties for non-compliance.

Under the revised framework, qualifying companies must appoint a woman director within six months of the start of the fiscal year 2025–26. Failure to comply may result in financial penalties, disqualification of board members, and possible restrictions on future public listings or capital market access. The Ministry of Corporate Affairs (MCA) has clarified that the woman director must be either an executive or non-executive member and must possess relevant professional experience in the industry, finance, law, or governance. Companies are also required to report their compliance status in annual corporate governance disclosures filed with the Registrar of Companies and stock exchanges.

To support the implementation of this directive, the MCA will soon release a talent database of eligible women professionals in collaboration with leading professional bodies such as the Institute of Company Secretaries of India (ICSI) and the Indian Institute of Corporate Affairs (IICA). Additionally, training modules and board-readiness programs will be rolled out to help prospective women directors navigate the legal, strategic, and fiduciary responsibilities of board roles. This mandate is widely seen as a progressive step toward inclusivity, balanced leadership, and greater accountability in India’s corporate governance ecosystem.
