Guidelines Issued for Foreign Directors in Section 8 Companies
The Ministry of Corporate Affairs (MCA) has issued comprehensive guidelines for the appointment and functioning of foreign directors in Section 8 companies, marking a significant step in regulating overseas participation in India’s non-profit sector. The new rules aim to ensure accountability, transparency, and legal compliance while allowing international collaboration for charitable and social initiatives.
According to the guidelines, any foreign national seeking to become a director in a Section 8 company must possess a valid Director Identification Number (DIN) and submit a notarized and apostilled copy of their passport as proof of identity. Additionally, foreign directors must comply with Know Your Customer (KYC) norms and provide an address for communication within India. If physically not present in the country, they are required to appoint an authorized representative to receive statutory notices on their behalf.
The MCA has clarified that foreign directors must also comply with all obligations under the Companies Act, 2013, including participation in board meetings, declaration of interests, and filing of annual disclosures. In cases where a foreign director is involved in key decision-making, the company must ensure that proper documentation and digital records are maintained to validate their role and responsibilities.
To avoid misuse, the guidelines stipulate that foreign directors cannot act as mere figureheads and must actively contribute to the governance and operations of the company. Companies failing to demonstrate the active participation of foreign directors may face regulatory action or disqualification of such appointments.
Legal experts have welcomed the move, citing it as a balanced approach that facilitates global engagement while safeguarding compliance. The new framework is expected to attract more credible international partnerships to India’s non-profit sector, while reinforcing the integrity and governance standards of Section 8 companies.
