Understand the Legal Provision
The change of address for a registered partnership firm is governed by the Indian Partnership Act, 1932. It allows firms to update their principal place of business by informing the Registrar of Firms.
- Applies to both intra-state (within the same state) and inter-state (to a different state) changes
- Only applicable if the firm is already registered
- The change must be recorded in the Partnership Deed
- All partners must consent to the change
- The amended address must be notified officially
Hold a Meeting and Pass a Resolution
The partners must convene a meeting to approve the change in address formally. This must be recorded in a resolution.
- Mention the new address clearly with full postal details
- Take signatures of all existing partners on the resolution
- Include the effective date of the change
- This resolution will be attached to the amendment application
- Keep the resolution as part of the internal records
Draft and Execute an Amendment to the Partnership Deed
A supplementary deed must be prepared to reflect the new address of the firm.
- Create an amendment or supplementary deed
- Include original and revised clauses related to the address
- Get the deed executed on non-judicial stamp paper
- All partners must sign the amended deed
- Notarize the document for legal validity
File Form with Registrar of Firms
Submit the relevant form (usually Form B) to the Registrar of Firms in the state where the firm is registered.
- Fill out Form B (Change of Principal Place of Business)
- Attach the following documents:
- Amended partnership deed
- Resolution of partners
- Proof of new address (e.g., rent agreement, electricity bill)
- ID and address proof of partners
- Amended partnership deed
- Pay the applicable government fee
- Submit the form physically or online (where e-filing is available)
Update Records and Inform Stakeholders
After the change is approved by the Registrar, update all your legal and business records.
- Update PAN with the new address through NSDL
- Amend the address in GST registration, shops and establishments, etc.
- Inform banks, clients, vendors, and government departments
- Update invoices, letterheads, and digital assets
- Keep a copy of the acknowledgment or approval for reference
