Hello Auditor

Introduction to MSME registration for subsidiaries

Introduction
MSME (Micro, Small and Medium Enterprises) registration offers several benefits including easier access to credit, subsidies, and protection under government schemes. Subsidiaries operating in India, including those with foreign parent companies, may be eligible for MSME registration if they meet the defined investment and turnover criteria under the MSMED Act, 2006. The registration is now facilitated through the Udyam Registration portal by the Ministry of MSME and is entirely online.

Eligibility for MSME Status
Subsidiaries must qualify as per the investment and turnover limits for micro, small, or medium enterprises. The current thresholds are up to ₹1 crore investment and ₹5 crore turnover for micro, ₹10 crore and ₹50 crore for small, and ₹50 crore and ₹250 crore for medium enterprises.

Ownership Does Not Affect Eligibility
Being a subsidiary does not disqualify a company from MSME registration. Even foreign-owned subsidiaries can register as MSMEs if they meet the prescribed financial limits and operate in eligible sectors like manufacturing or services.

Mandatory PAN and GSTIN
To register on the Udyam portal, the subsidiary must have a valid PAN and GSTIN. Aadhaar of an authorized signatory is also required to validate the application process.

Application via Udyam Portal
Registration is done through the official Udyam Registration portal. Applicants must provide basic information such as business activity, investment, turnover, location, and ownership structure. Only one registration per entity is allowed.

Classification Based on Composite Criteria
MSME classification uses a composite criterion of both investment in plant and machinery or equipment and annual turnover. This ensures a more dynamic and accurate categorization of the enterprise.

No Registration Fees
The registration is free of cost and does not require any physical documents. Self-declaration is accepted for most fields, making the process simple and transparent for eligible subsidiaries.

Benefits of MSME Registration
Registered subsidiaries enjoy benefits such as priority sector lending, interest subsidies, delayed payment protection, exemption from certain tax audits, and eligibility for government tenders reserved for MSMEs.

Reporting and Updating Information
After registration, the subsidiary must ensure that financial data and business classifications are regularly updated. The Udyam portal automatically pulls data from Income Tax and GST portals for verification.

Restriction on Multiple Registrations
Even if a subsidiary operates multiple units, only a single MSME registration is permitted. All activities must be consolidated under one Udyam registration linked to the PAN.

Conclusion
MSME registration provides valuable advantages to eligible subsidiaries in India, supporting growth, funding access, and regulatory relief. With a simplified online process and clear eligibility criteria, subsidiaries meeting the financial thresholds should consider securing Udyam registration to leverage government initiatives.
