The Ministry of Corporate Affairs (MCA), in collaboration with SEBI, has officially mandated that all listed public limited companies must file Environmental, Social, and Governance (ESG) reports starting from the next fiscal year. This directive marks a significant regulatory shift aimed at aligning Indian corporate reporting standards with global sustainability benchmarks. The ESG disclosures will be required under the revised Business Responsibility and Sustainability Reporting (BRSR) framework, which will now become mandatory for the top 1,000 listed entities by market capitalization, and will gradually expand to smaller firms over time.

Under the new framework, companies must report comprehensive data across three critical ESG pillars—carbon emissions and energy usage (environmental), employee welfare and diversity (social), and board independence and anti-corruption mechanisms (governance). These disclosures will have to be audited and digitally filed with the stock exchanges yearly, with the first filings due in the first quarter of the 2025–26 fiscal year. The government has also emphasized that ESG metrics will be integrated into investor ratings and risk assessments, thereby influencing access to capital and valuation benchmarks for these firms.

The move has been widely welcomed by sustainability advocates and long-term investors, but corporate groups have raised concerns about implementation costs, data readiness, and audit mechanisms. To address these challenges, the MCA is preparing a set of sector-specific guidelines and has proposed a phased rollout for companies with lower market caps. In addition, training modules and compliance toolkits will be launched to assist firms in preparing for the new mandate. This step cements India’s growing commitment to sustainable corporate governance and responsible business practices on the global stage.
