1. SPICe+ Part A – Name Reservation
- This form is used to apply for the reservation of the company name.
- The proposed name must include “Nidhi Limited” and comply with MCA naming guidelines.
- It must be unique and not identical to any existing company or trademark.
- Once approved, the name is reserved for 20 days to complete incorporation.
- SPICe+ Part A is submitted through the MCA portal before SPICe+ Part B.
2. SPICe+ Part B – Incorporation Application
- This is the main application for incorporating the Nidhi Company.
- It includes company details, capital structure, object clause, and director information.
- Linked forms such as e-MOA (INC-33) and e-AOA (INC-34) are auto-generated with Part B.
- Professional certification from a CA, CS, or CMA is required for validation.
- Upon approval, the Registrar issues the Certificate of Incorporation.
3. AGILE-PRO – Additional Registrations
- This form is used to obtain additional registrations like GST, EPFO, ESIC, and bank account opening.
- It is filed together with SPICe+ Part B as part of the integrated company registration process.
- AGILE-PRO ensures a single-window clearance for multiple registrations.
- It includes details of the company’s primary activity, business location, and contact information.
- PAN and TAN for the company are also generated through this submission.
4. INC-9 – Declaration by Subscribers and Directors
- This is a mandatory declaration by all subscribers and first directors.
- It confirms that they have not been convicted of any offence under company law.
- INC-9 is auto-generated by the MCA system based on the details provided in SPICe+.
- It must be digitally signed and attached to the incorporation documents.
- Physical signatures are not required if the number of subscribers is less than 20.
5. NDH-1 – Post-Incorporation Declaration
- NDH-1 is filed within 90 days from the date of incorporation.
- It declares that the company meets the minimum of 200 members and ₹10 lakh Net Owned Fund requirements.
- The form must be certified by a practicing CA, CS, or CMA.
- Filing NDH-1 confirms the operational status of the company as a Nidhi.
- If the conditions are not met, the company must file NDH-2 to request an extension.
