What documents are required for incorporating a Public Limited Company?

1. Identity and Address Proof of Directors and Shareholders

  • PAN Card of all directors and shareholders (mandatory for Indian nationals)
  • Passport (in case of foreign nationals)
  • Aadhaar Card, Voter ID, or Driving License as identity proof
  • Latest utility bill or bank statement as address proof
  • Passport-size photographs of all directors

2. Proof of Registered Office Address

  • Recent electricity bill, water bill, or property tax receipt
  • No Objection Certificate (NOC) from the property owner
  • Rent agreement or sale deed, if applicable
  • The documents must not be older than two months.
  • Must mention the complete address with PIN code

3. Memorandum and Articles of Association (MoA and AoA)

  • Memorandum of Association outlining the company’s objectives
  • Articles of Association defining the rules of internal management
  • Subscribers must sign the documents with a proper witness.
  • Includes details like company name, state, and capital structure
  • Filed as linked forms with SPICe+ at incorporation

4. Declaration and Consent Forms

  • DIR-2: Consent to act as a director
  • INC-9: Declaration by subscribers and first directors (auto-generated in SPICe+)
  • Self-declaration for non-disqualification of directors
  • Subscriber sheet with signature, name, and address
  • Signed affidavits or declarations if required under the Act

5. Digital and Regulatory Certifications

  • Digital Signature Certificate (DSC) for all directors
  • Director Identification Number (DIN), applied through SPICe+.
  • Declaration of business commencement in Form INC-20A after registration
  • Application for PAN, TAN, GST, EPFO, ESIC via AGILE-PRO-S
  • Proof of fee payment for ROC filing and stamp duty
