What documents are required for Nidhi registration?

1. Identity and Address Proof of Directors and Members

  • PAN Card of all directors and subscribers is mandatory.
  • Aadhaar Card, Voter ID, Passport, or Driving License can be used as proof of identity.
  • Recent utility bills or bank statements are required as proof of residential address.
  • Each document must be self-attested and submitted with the incorporation forms.
  • All directors must also provide passport-sized photographs in digital format.

2. Proof of Registered Office Address

  • The latest Electricity Bill, Water Bill, or Property Tax Receipt of the business premises is required.
  • A No Objection Certificate (NOC) from the property owner must be provided, if the property is rented.
  • A copy of the Rent Agreement or Lease Deed is required for rented premises.
  • The address proof should mention the premises’ location and not be older than 2 months.
  • This address will be used as the official communication address for the company.

3. Director-Specific Declarations and Consents

  • DIR-2 (Consent to Act as Director) signed by each proposed director is required.
  • INC-9 (Declaration by Subscribers and Directors) confirming legal eligibility must be submitted.
  • These declarations are auto-generated within the SPICe+ form and must be digitally signed.
  • Each director must also submit a declaration of directorships in other companies, if any.
  • A Digital Signature Certificate (DSC) is mandatory for signing all electronic forms.

4. Company Formation Documents

  • Memorandum of Association (MOA) specifying the objective of the Nidhi Company.
  • Articles of Association (AOA) outlining the operational rules and member regulations.
  • MOA must state the primary object as encouraging savings and mutual benefit.
  • Both MOA and AOA are e-forms (INC-33 and INC-34) filed through SPICe+.
  • These documents must be digitally signed by all subscribers and the professional certifying the incorporation.

5. Professional Certification and Supporting Forms

  • A practicing Chartered Accountant, Company Secretary, or Cost Accountant must certify the application.
  • The professional’s Membership Number and Digital Signature are used in the incorporation forms.
  • SPICe+ (Part A and Part B) forms are used for name reservation and incorporation.
  • Linked forms include AGILE-PRO (GST, EPFO, ESIC, bank account), e-MOA, and e-AOA.
  • All documents must be uploaded to the Ministry of Corporate Affairs (MCA) portal with applicable fees.
