1. Documents of Directors and Promoters
- PAN Card of each director and promoter (mandatory for Indian nationals).
- A passport is required for foreign nationals as identity proof.
- Aadhaar Card, Voter ID, or Driving License as address proof.
- Recent passport-size photographs of all directors and members.
- Digital Signature Certificates (DSC) of all proposed directors for online filings.
- Director Identification Number (DIN) – can be applied during incorporation.
2. Registered Office Address Proof
- Electricity bill, water bill, or telephone bill of the premises (not older than 2 months).
- No Objection Certificate (NOC) from the property owner, if rented.
- A rent agreement or ownership document showing the address of the registered office.
- The address must be located in India and capable of receiving communications.
- Proof of registered office is required at the time of SPICe+ Part B filing.
3. Declaration and Affidavits
- INC-14: Declaration by a practicing professional (CA, CS, or Advocate) that the application complies with the Companies Act.
- INC-15: Declaration by each applicant or subscriber confirming the company’s non-profit objectives.
- INC-9: Declaration by all first directors and subscribers affirming no disqualification under the Act.
- DIR-2: Consent to act as a director in the prescribed format.
- Self-declarations may be required in certain states to support compliance statements.
4. Company-related Documents
- Draft Memorandum of Association (MOA) specifying the objectives of the Section 8 company.
- Draft Articles of Association (AOA) defining the rules and internal management structure.
- Object clause (brief explanation of the company’s purpose) to be submitted in SPICe+ form.
- Name approval confirmation from SPICe+ Part A, if filed separately.
- All documents must be digitally signed by applicants and certified professionals.
5. Professional Certifications and Licenses
- Professional certification by a Chartered Accountant (CA), Company Secretary (CS), or Advocate in practice is mandatory.
- Certification must cover the correctness of details and compliance with the Companies Act.
- The application for the Section 8 license (Form INC-12) must be filed with the above supporting documents.
- The license must be granted before submission of final incorporation forms.
- All documents must be uploaded through the MCA portal in proper format (PDF).
