1. Passing a Resolution in General Body Meeting
- The first step is to convene a General Body Meeting of the society.
- A special resolution must be passed by at least three-fifths of the members present.
- The resolution must clearly state the existing name and the proposed new name.
- The change must align with the objectives and non-profit nature of the society.
- The meeting minutes must be recorded and signed by the President and Secretary.
2. Ensuring Name Availability and Compliance
- The proposed name must be unique and not identical to any existing registered society or trademark.
- Names containing restricted words like “National,” “India,” or “Government” may require prior approval.
- The new name should reflect the objectives and must not be misleading or offensive.
- A name availability check may be conducted through the Registrar of Societies.
- Avoid names that imply political, commercial, or religious bias beyond the scope of the society.
3. Submission of Application to Registrar of Societies
- Prepare an application addressed to the Registrar of Societies of the concerned state.
- Attach the following documents:
– Certified copy of the special resolution
– Copy of the original registration certificate
– Revised Memorandum of Association with the new name
– Copy of the minutes of the meeting
– Identity and address proofs of the office bearers - Submit the application in the prescribed format along with the required fee.
4. Registrar’s Verification and Approval
- The Registrar verifies the documents, resolution validity, and name uniqueness.
- If everything is in order, the Registrar issues a certificate of name change or amended registration certificate.
- The name change becomes legally effective from the date mentioned in the approval order.
- If the Registrar finds discrepancies, they may ask for clarifications or reject the request.
- The updated certificate must be preserved and used in all future communications.
5. Post-Approval Formalities
- The society must update its name in all official records, signboards, seals, and stationary.
- Inform banks, funding agencies, and other stakeholders about the name change.
- Update the PAN, GST (if applicable), FCRA registration, and income tax records.
- Notify members formally and issue updated membership cards or communications.
File updated documents in the next annual return or compliance filing with the Registrar.
