What is the role of the Company Secretary in subsidiaries?

Regulatory Compliance and Filings

  • Ensures the subsidiary complies with the Companies Act, 2013 and other applicable laws.
  • Prepares and files statutory forms such as MGT-7, AOC-4, PAS-3, SH-7 with the Registrar of Companies.
  • Maintains regular communication with regulators like the Ministry of Corporate Affairs (MCA), SEBI, and RBI.

Maintenance of Statutory Registers

  • Maintains statutory registers including those of members, directors, charges, and share allotments.
  • Updates records in case of share transfers, director appointments, or changes in capital.
  • Safeguards official documents, certificates, and company seals.
  • Maintains Register of Contracts, Register of Related Party Transactions, and Register of Investments.
  • Ensures accessibility of registers for inspection when required by law.

Corporate Governance and Advisory

  • Advises the board on good governance practices, code of conduct, and secretarial standards.
  • Ensures the subsidiary adheres to ethical, regulatory, and operational standards.
  • Guides on roles and responsibilities of directors, especially under fiduciary obligations.
  • Supports compliance with risk management, CSR, and whistleblower policies where applicable.
  • Ensures alignment of subsidiary practices with the policies of the parent company.

Liaison and Coordination

  • Acts as the key compliance officer and liaison between the company, regulators, and stakeholders.
  • Coordinates with auditors, tax consultants, legal advisors, and government authorities.
  • Communicates decisions and disclosures to the parent company in case of foreign ownership.
  • Handles secretarial audits and provides documentation to internal and external auditors.
  • Supports procedural work during capital restructuring, mergers, and foreign investment transactions.
