What is the validity of a society registration?

1. General Validity under Central Act

  • Under the Societies Registration Act, 1860, once a society is registered, the registration is considered valid indefinitely.
  • There is no expiry date for registration unless cancelled or dissolved under law.
  • The society continues to exist as a legal entity unless it is voluntarily dissolved or struck off by the Registrar.
  • However, continued recognition depends on annual compliance and active operation.
  • The certificate issued remains valid unless legally revoked.

2. State-Specific Rules and Exceptions

  • Some states have amended the central act and introduced rules that require periodic renewal.
  • For example, in certain states, registration may be valid for 5 years or 10 years and needs to be renewed thereafter.
  • The exact validity depends on the respective state’s amendment laws or rules.
  • Societies operating across states must comply with local renewal provisions.
  • Renewal, if required, is done through submission of prescribed forms and fees.

3. Conditions for Continuity of Registration

  • The society must conduct annual general meetings, maintain books of accounts, and file annual returns (where mandated).
  • Non-compliance may lead to penalties, suspension, or cancellation of registration.
  • Societies must maintain active functioning and not become dormant.
  • Any change in name, address, or governing body must be notified to the Registrar.
  • The Registrar has powers to conduct inspections and ensure continued eligibility.

4. Voluntary Dissolution and Termination

  • A society can be dissolved voluntarily by a resolution of its members following legal procedures.
  • On dissolution, the society ceases to exist, and the registration becomes void.
  • Upon settlement of liabilities, the remaining assets must be transferred to another registered society.
  • Dissolution must be reported to the Registrar for official cancellation of registration.
  • The Registrar may also cancel registration for proven fraud or repeated violations.

5. Renewal and Re-registration (If Applicable)

  • In states where periodic renewal is mandatory, societies must apply before expiry.
  • Required documents include the latest annual report, audit statements, and board resolution.
  • Delay in renewal may attract late fees or temporary suspension.
  • In case of non-renewal beyond permitted time, the society may need to re-register as a new entity.

Societies must monitor state-specific rules to avoid unintentional deregistration.
