What are the naming guidelines for an LLP?
Basic Structure of the Name
- The name of an LLP must end with “Limited Liability Partnership” or “LLP”
- It must include a prefix or descriptive term that reflects the business activity
- The proposed name should be distinct and meaningful in context
- Generic names without any distinctiveness may be rejected
- The name must follow the structure: Unique Name + Business Activity + LLP
Uniqueness and Distinctiveness
- The name must not be identical or too closely resembling an existing LLP, company, or registered trademark
- It must not create confusion with any active or dissolved business entity
- Using plurals, punctuation, or slight variations will not be accepted for differentiation
- Avoid names that imply association with government or international bodies
- Use of coined or invented words should be properly justified
Restricted and Prohibited Words
- Names implying government patronage, like “National”, “Republic”, or “State”, require special approval
- Words like “Bank”, “Insurance”, “Venture Capital”, or “Mutual Fund” need approval from sectoral regulators
- Use of words such as “Board”, “Authority”, “Commission”, “Undertaking” is not permitted without justification
- Religious names or names indicating professionally regulated fields may need relevant permissions
- Offensive, obscene, or misleading words are strictly prohibited
Use of Trademarks and Brand Names
- If the proposed name contains a registered trademark, the applicant must provide consent from the trademark owner
- Use of a well-known brand name without authorization will result in rejection
- Names matching existing trademarks are not allowed unless supporting legal documents are provided
- The MCA verifies trademark databases before approving such names
- Proper documentation must be submitted along with the name reservation form
Language, Symbols, and Spelling
- The name should be in English or Hindi, or use phonetic equivalents of Indian languages in English script
- Use of special characters, symbols, and punctuation marks is not allowed
- Only standard abbreviations witha clear meaning may be used
- Names must not have intentional misspellings or creative alterations that obscure pronunciation
- Consistency in spelling, grammar, and clarity is essential for approval
