What is the procedure to change LLP name?

Approval of Partners

  • The decision to change the LLP’s name must be approved by all partners
  • A formal resolution must be passed to authorize the name change
  • The LLP Agreement must be checked or amended to allow such a change
  • All partners must agree on the proposed new name and its usage
  • The new name should align with the LLP’s business objectives and branding

Name Reservation Application

  • File an application for name reservation using the RUN-LLP (Reserve Unique Name – LLP) service on the MCA portal
  • Propose a new name with proper justification and compliance with naming guidelines
  • Ensure the name is unique, not identical or similar to existing entities or trademarks
  • The Registrar reviews and, if acceptable, reserves the name for 90 days
  • Avoid restricted or sensitive words unless you have regulatory approval

Filing Form 5 with RoC

  • Once the name is approved, file Form 5 (Notice for change of name) with the Registrar of Companies (RoC)
  • File within the validity period of the reserved name (90 days)
  • Attach a copy of the partner resolution approving the name change
  • Include the Name Approval Letter received from the MCA portal
  • Pay the prescribed government fee and digitally sign the form using the DSC of a designated partner

Registrar Verification and Certificate

  • The RoC verifies the application and supporting documents
  • If satisfied, the RoC issues a Fresh Certificate of Incorporation in the new name
  • The LLP retains its existing identity and registration number, only the name changes
  • The date of the new certificate becomes the effective date of the name change
  • No change is permitted until official approval is granted

Post-Approval Actions

  • File Form 3 to update the LLP Agreement with the new name
  • Notify banks, vendors, clients, the GST department, the PAN authority, and others
  • Update letterheads, signage, contracts, website, and communication materials
  • Retain a copy of the new certificate and filings for compliance audits
  • Ensure the name change is reflected in all future legal and business documents
